2. PURPOSE AND SCOPE

Our platform, "Easeplan," simplifies the event planning process, enabling planners to find top-notch vendors for catering, décor, entertainment, and logistics. With Easeplan, event planners expand their capabilities and access a curated selection of reliable vendors, ensuring the success of every occasion.

These Terms of Use outline the conditions under which Easeplan provides Services to Clients and Users' access to the Platform. Easeplan collects, uses, and discloses personal information as described in our privacy policy, which is incorporated into these Terms of Use. Please read the privacy policy carefully before accessing the Platform or using the Services. References to "you" or "your" pertain to any person accessing or using the Platform and/or Services.

3. ELIGIBILITY

Our Platform and Services are designed exclusively for individuals and businesses who meet specific criteria. For individuals, the minimum age requirement is 18 years or older, while businesses must be validly registered or incorporated in Nigeria. Additionally, Users accessing the Platform or using our Services must either be Nigerian citizens or legal residents in Nigeria.

In order to access certain features of the Platform, you must register to create an account. When you register, you will be asked to choose a password which you will be required to provide in order to access your Account.

4. SECURITY OF INFORMATION

Easeplan implements physical, electronic, and procedural safeguards in accordance with regulatory standards under Applicable Law to protect the non-public personal information of Users and Clients (please refer to the privacy policy for further details). It is your responsibility to ensure the security of your password and other Account information. You must not disclose your password to any third party, and in the event of a lost or stolen password or suspicion of unauthorized Account use, you must promptly notify Easeplan.

As a User, you acknowledge and accept full responsibility for any activities or actions performed under your Account. Moreover, you grant Easeplan irrevocable authorization to act upon any instructions received through the Services on your behalf for the purpose of utilizing the Services. Such instructions shall be considered irrevocably authorized by you.

You commit to providing truthful, accurate, current, and complete information during the account registration process on our Platform.

5. ALERTS, NOTIFICATIONS, AND SERVICE COMMUNICATIONS

Upon creating an Account, you will be automatically registered to receive a range of alerts via email and mobile notifications. Such information shall not be disclosed to any third parties or made accessible to the public. Nevertheless, this confidentiality restriction does not apply to information shared with legal advisors or any third party to the extent necessary, as deemed by Easeplan, to comply with the requirements of any court of competent jurisdiction or any governmental or regulatory authority in Nigeria.

It is important to note that this confidentiality covenant shall persist even after the termination of these Terms of Use, emphasizing our unwavering commitment to preserving the confidentiality of information entrusted to us.

7. FEE AND EXPENSES

By accepting these Terms of Use, you acknowledge and understand that there might be additional charges imposed by third-party financial institutions. These additional costs could encompass various fees, such as bank transfer fees, transfer taxes, and other related charges. Please be aware that these fees are separate from and not covered by the fee you pay to Easeplan. It is essential to be well-informed about any potential additional costs incurred during financial transactions to ensure clarity and transparency throughout your engagement with our services.

8. DISCLAIMER

Your use of Easeplan's Platform and the personal information you provide is entirely at your discretion. Easeplan explicitly disclaims all warranties, whether express, implied, or statutory, relating to its Platform and/or Services, content, and/or user information. These disclaimers encompass warranties of title, merchantability, fitness for a particular purpose, non-infringement of proprietary rights, course of dealing, or course of performance. Specifically, Easeplan disclaims warranties:

• Regarding the availability, security, accuracy, reliability, timeliness, and performance of its Platform, services, content, and/or user information.
• In connection with actions or inactions by third parties.
• That the Platform will be error-free or that any errors will be corrected.
• That the Platform will be free from electronic viruses.
• Concerning the performance of, accuracy, quality, currency, completeness, or usefulness of any information provided by Easeplan on its Platform, including information obtained through social media.

It is important to note that any advice or information, whether oral or written, obtained from Easeplan's Platform shall not create any warranty beyond what is expressly stated in these Terms of Use. Should you choose to rely on such information, you do so solely at your own risk.

9. INDEMNITY

You hereby undertake to defend, indemnify, and hold harmless Easeplan, its directors, officers, employees, agents, successors, or assigns from any and all claims, losses, damages, liabilities, costs, and expenses (including, but not limited to, reasonable legal fees) that arise while acting in accordance with the terms specified in these Terms of Use and are not directly caused by a breach of the stated terms, bad faith, gross negligence, or a material violation of Applicable Law.

Easeplan shall not be held liable for any losses that affect the assets held by it on behalf of the Client if such losses are the result of unforeseen adverse market conditions, government restrictions, exchange or market rulings, or the suspension of trading.

Additionally, Easeplan shall not be liable for any acts or failures to act by any third party.

10. LIMITED LIABILITY

In no event shall Easeplan or any of its officers, directors, employees, or agents be liable to you for any damages whatsoever, including without limitation indirect, incidental, special, punitive, or consequential damages, arising out of or in connection with your use of Easeplan, content, and/or user information. This includes, but is not limited to, the quality, accuracy, or utility of the information provided as part of or through Easeplan, whether the damages are foreseeable, and whether or not Easeplan has been advised of the possibility of such damages.

The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction, and under no circumstances shall Easeplan's cumulative liability to you exceed ₦10,000.00 or its equivalent in any currency.

11. ANTI-MONEY LAUNDERING

You hereby affirm and guarantee the following, and you shall promptly notify Easeplan if any of the following statements cease to be true and accurate:

• No payment made by you to Easeplan shall lead to a violation of Applicable Law.
• No engagement made by you and a vendor from the Easeplan Platform shall support an illegal or unlawful business venture.

In the event that we discover any untruth or inaccuracy in the aforementioned representations, or if it comes to our attention that our Platform and/or Services are being used in contravention of Applicable Law or for suspicious transactions, as determined by us, you commit to indemnify us against any resulting loss, damages, or expenses. Additionally, you acknowledge that we hold an obligation to report your activities to the relevant authorities without seeking recourse from you.

12. REPRESENTATIONS AND WARRANTIES

You hereby affirm and guarantee that:

• You possess full power, capacity, and authority to access the Platform and utilize the Services.
• The terms stated herein do not contravene any obligations to which you are bound, whether arising from a contractual agreement, operation of law, or any other source.

You shall promptly notify Easeplan in the event that any of your representations or warranties in this Agreement are no longer accurate or entirely true.

13. TERMINATION

We reserve the right to terminate or suspend your use of the Services at any time, without prior notice, if your Account is found to be involved in fraudulent activities or if you have breached any part of these Terms of Use.

In the event of any law enforcement authorities or court order requesting or directing us to disclose the identity of any individual who has posted, published, or made available any User information, emails, or other materials believed to violate these Terms of Use, we will fully cooperate.

Please note that any suspension, termination, or cancellation will not affect your existing obligations to Easeplan under these Terms of Use, including ownership, indemnification, and limitation of liability, as these provisions are intended to survive such actions.

You have the option to terminate your relationship with us at any time, subject to the specific rules and guidelines applicable to your Account. Such termination shall not prejudice any rights and obligations that have arisen prior to the date of termination.

14. EASEPLAN "DOS" AND "DON'TS"

14.1. Dos:

• Comply with Applicable Law.
• Provide accurate and updated information to us, whether reported directly or through a third party who you authorize.
• Use the Services solely for your personal and commercial use.
• Use your real name on your profile and keep your password confidential.
• Use the Services in a professional manner.

14.2. Don'ts:

• Circumvent, disable, or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any content or User information.
• Upload, email, transmit, or make available any User information that you do not have the lawful right to use, copy, transmit, or display, including any User information that would violate any confidentiality or fiduciary obligations you might have with respect to the User information.
• Upload, email, transmit, or make available any User information that infringes the intellectual property rights or violates the privacy rights of any third-party.
• Send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
• Provide any personal information that is unlawful, obscene, harmful, threatening, harassing, defamatory, or hateful, or that contains objects or symbols of hate, invades the privacy of any third-party, contains nudity, is deceptive, threatening, abusive, inciting of unlawful action, or is otherwise objectionable in the sole discretion of Easeplan.
• Upload any personal information that contains software viruses, or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or interfere with the access of any user, host, or network.
• Include hidden code or metadata within the User information.
• Use any meta tags or hidden text or metadata utilizing an Easeplan name, trademark, URL, or product name.
• Interfere with or disrupt Easeplan's web page, server, or network or disobey any requirements, procedures, policies, or regulations of networks connected to Easeplan.
• Attempt to probe, scan, or test the vulnerability of any Easeplan system or network or breach or impair or circumvent any security or authentication measures protecting Easeplan.
• Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software used to provide Easeplan.
• Use any automated system, including "robots," "crawlers," or "spiders," to access or collect information from Easeplan.
• Violate the Terms of Use or any other rule or agreement applicable to you or Easeplan's relationship with any third party or third-party site or service.
• Collect or store personal information about other users without their express permission.
• Impersonate or misrepresent your affiliation with any person or entity, commit fraud, or engage in social engineering tactics.
• Scrape or copy information from Easeplan through any means, including crawlers, browser plugins, add-ons, or manual work.
• Use, launch, or permit the use of any automated system to access or interact with Easeplan.
• Copy or use the information, content, or data on Easeplan in connection with a competitive service.
• Monitor Easeplan's availability, performance, or functionality for any competitive purposes.
• Use Easeplan or its content in any manner not permitted by these Terms of Use.

15. INTELLECTUAL PROPERTY

The content available on this Platform is either owned or licensed by Easeplan and its third-party information providers, and it is protected by applicable copyrights, trademarks, service marks, and/or other intellectual property rights. This content is intended solely for your personal, non-commercial use. Therefore, in addition to the specific restrictions outlined under clause 14.2 above, you are prohibited from copying, distributing, modifying or posting to this Platform, including any text, graphics, video, audio, software code, user interface design, or logos.

You may download materials displayed on the Platform for your personal use, provided that you also retain all copyright and other proprietary notices contained on the materials. However, you are not permitted to distribute, modify, transmit, reuse, repost, or use the content on the Platform for public or commercial purposes, including all text, images, audio, and video. Any unauthorized modification or use of the materials for other purposes would violate Easeplan's intellectual property rights.

All trademarks, service marks, trade names, and logos displayed on the Platform are the property of Easeplan and/or their respective owners. Any unauthorized use of these images may violate copyright laws, trademark laws, as well as privacy and publicity laws, communications regulations, and other applicable statutes and regulations. If you download any information from the Platform, you agree not to copy it or remove or obscure any copyright or other notices or legends contained in the information.

16. GENERAL TERMS

If any provision in these Terms of Use is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of a party to enforce any right or provision within these Terms of Use shall not be considered a waiver of such right or provision.

Without prior written consent from Easeplan, you may not assign your rights, novate, or delegate your obligations under these Terms of Use, and any prohibited assignment shall be null and void. Easeplan, however, reserves the right to assign these Terms of Use or any rights hereunder without requiring your consent. The relationship between the parties under these Terms of Use is that of independent contractors, and these Terms of Use shall not imply that either party is the agent, employee, or joint venture of the other. Please note that if you choose to become a Client, the relationship of the parties will be governed by these Terms of Use.
